Manu Terms and Conditions

We want to keep this brief. Our first commitment to you as a client is that we will value your time (and not waste it). Signing this document ensures you won’t waste ours either. The most important thing we should all agree on is this:

We want to build something great. Let’s do it together, and let’s all be good to each other.

Commencement of work.

On behalf of CLIENT NAME (‘you’), you are hiring Manu (‘us’) to build the PRODUCT NAME. If at any time you decide you want to stop working with us, just tell us and we will immediately initiate the cool-down period.

Payment.

As we explained in Our Workflow, we will estimate the project cost in fortnightly sprints, following the Discovery Workshop. Payment for the discovery workshop and project road-map is required in full before commencement. Each sprint will be invoiced at the conclusion of the sprint. If you have any problems with funds or payment time-frames, let us know. We’ll work something out.

What’s yours, is yours.

Anything you provide us to use in the project, including all content such as images and text is yours or you have permission from the copyright owner to use it. That means we will not take any responsibility for using content given to us that infringes on someone’s copyright.

Once we’ve received payment for a completed sprint, the work completed during that sprint is yours, and when the project is completed and final payment is received, you own the project code. We’ll give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy. You own all intellectual property rights of text, images, site specification and data you provided, unless someone else owns them. We provide developer documentation, and we'll make sure all our code is neatly presented so other developers will be able to understand it.

What is ours, is ours.

We’ll own any intellectual property rights we’ve developed prior to this project, developed separately from this project, or code developed during un-paid sprints.

Termination of contract: ‘cool-down period’.

You, as our client, have ultimate control over the project. That includes stopping it and terminating this engagement whenever, and for whatever reason. If you initiate this clause, we will immediately enter a cool-down period. This is a two week sprint during which we will ensure that all the code we have developed up to that point is nice and tidy, and features that are near completion are completed. At the end of this sprint, what’s yours is still yours. The cost of the cool-down period will be equal to a typical sprint, as stipulated in the costings of the Project Road-map.
